Position Overview:

We are seeking an experienced litigation attorney to provide legal counsel on risk management and represent the organization in various litigation matters, administrative actions, and investigations. This role involves advising the company’s Multifamily business and legal teams on litigation risks related to the origination, purchase, and securitization of Multifamily loans. Key Responsibilities:

  • Represent the company in federal and state courts, administrative proceedings, and similar legal matters.

  • Manage and oversee outside counsel while driving case strategy.

  • Provide legal advice on litigation risks associated with the company’s Multifamily operations, including business restrictions and contractual obligations.

  • Conduct and manage internal and external investigations as needed.

  • Perform legal research and offer strategic guidance on complex litigation matters.

  • Collaborate with the eDiscovery team on document preservation, production, and discovery processes.

  • Respond to third-party subpoenas and government information requests.

  • Develop a deep understanding of the company’s business operations, including contractual agreements and regulatory compliance.

  • Handle additional legal duties as assigned.

Qualifications:

  • Juris Doctor (JD) degree.

  • Active membership in good standing with a state Bar.

  • Minimum of 12 years of relevant litigation experience at a top-tier law firm or in-house at a financial institution with a sophisticated real estate and investment portfolio.

  • Extensive experience with all aspects of litigation, including motion practice, depositions, discovery, and trial preparation.

  • Strong background in counseling senior executives on legal risk and litigation strategy.

  • Experience managing investigations, including interactions with regulatory and law enforcement agencies.

  • In-depth knowledge of Multifamily loan origination, purchase, and securitization.

  • Strong eDiscovery expertise.

  • Excellent legal research, analytical, writing, and advocacy skills.

Job Description

Under the direction of the WellSense Health Plan Chief Legal Officer, provides legal counsel and services to protect the interests of WellSense and our Health System and ensure that their affairs are managed in accordance with the law and policy.

 

ESSENTIAL RESPONSIBILITIES / DUTIES:

·        Juris Doctor degree from an accredited Law School required.

·        Assumes a leadership role in ensuring the provision of legal counsel and the protection of legal rights for WellSense and, as appropriate, our Health System.  Provides legal advice to the WellSense and our Health System community.

·        Independently handles legal matters and problems, including vendor contracts, provider service agreements, business associate agreements, intercompany agreements, managed care agreements, and various negotiations.

·        Manages corporate filings, responses to requests from state and federal regulators, subpoenas and records requests, and interpretations of laws and regulations.

·        Works with operational departments to assist in management of regulatory and contractual requirements affecting the business of WellSense and our Health System.

·        Collaborates with Public Partnerships, Government Affairs, Compliance, and other departments to support the awareness and implementation of proposed and new legislation and regulatory requirements pertinent to the operation of WellSense and, as appropriate, our Health System.  Assesses new requirements to provide guidance on timeframes, impacts, and magnitude of effort to meet regulatory compliance.

·        Collaborates with Compliance, Public Partnerships, and other departments on state and federal audits.

·        Participates in and manages litigation.

·        Supports or conducts the management of investigations with legal counsel for violations of law or policy.

·        Assists the development and review of WellSense and, as appropriate, our Health System policies and procedures.

·        Maintains an effective working relationship with corporate-wide contacts at all levels.

·        Resolves, or provides guidance on a variety of general business issues referred to the Office of General Counsel.

·        Reviews work to ensure conformity to established departmental policies and procedures, objectives, audit and regulatory standards.

·        Participates in the administration of the Office of the General Counsel.

JOB REQUIREMENTS

 

EDUCATION:

Juris Doctor degree from an accredited Law School required.

 

CERTIFICATES, LICENSES, REGISTRATIONS REQUIRED:

Bar member in good standing within the state worked; multi-state desired, but not required.

 

EXPERIENCE:

Work requires knowledge of federal and state law applicable to the healthcare industry, including familiarity with managed care, reimbursement, privacy, fraud and abuse, research, and the current regulatory environment; of legal and procedural practices; of office and supervisory practices and procedures at a level generally acquired through at least seven to ten years of varied legal experience with an emphasis on health-related issues.

 

KNOWLEDGE AND SKILLS:

Job Description

The Associate General Counsel position will handle a wide range of law-related issues with a focus primarly on risk management and transactional law. This position also provides legal advice on regulatory matters across multiple jurisdictions.  Seeking a licensed attorney (any U.S. State) with several years of experience, including law firm and/or in-house, focused on transactional and contract law. Proficient in Microsoft Word and Office. Preference given to applicants with experience as in-house counsel or previous practice in the areas of construction law, insurance defense, OSHA regulations, administrative law, transportation law (trucking) or employment law.

 

Primary Duties and Responsibilities:

·        Review, draft, and negotiate various types of non-construction agreements, including but not limited to, leases, service agreements, staffing agreements, vendor and consulting agreements and various waivers and releases.

·        Work closely with insurance providers and outside insurance defense firms in addressing claims (workers compensation, auto, OCIP, and general liability)

·        Collaborate with human resources and safety departments to establish best practices in reducing risk, including policy development across multiple facilities.

·        Lead privileged internal audits and process reviews. Draft policy and protocols for implementation as needed.

·        Monitor legislation, regulations, case law, and government enforcement activities relating to the above substantive legal areas, and provide proactive, strategic advice

·        Liaison with outside law firms to meet Company goals

·        Settlement of claims and disputes
